Who this agreement is between

These terms are between you and Surge Global, which operates this site. They apply from the moment you create an account. If you are using the site for a company, you confirm you are allowed to accept these terms on its behalf.

What Surge Playbooks is

A library of sector playbooks, case studies and pitch decks, together with the tools the Surge team uses to run its partner network. The list of what exists is public. The material itself is not: reading it requires an account that we have approved.

Nothing in the library is an offer, a quotation or a contract. Figures in a playbook are indicative and change. Work is only ever agreed in a separate signed document.

Accounts and approval

• Creating an account gives you no access on its own. Somebody at Surge reviews every partner application and decides. Until then your account opens nothing.
• Approval is at our discretion and we do not have to give a reason.
• An account belongs to one person. Do not share it, and do not let anybody else sign in as you.
• Give us accurate details and keep them up to date.
• Keep your password to yourself. Tell us immediately if you think somebody else has it, and we will end every session on the account.

What you may do with the material

The playbooks, case studies, decks and PDFs are Surge's confidential business material. They carry pricing, commercial positions and the arguments we use to win work, and they are made available to you for one purpose: bringing Surge business.

You may:

• Read anything the library opens to you.
• Send a link to a specific prospective client you are introducing. They will be asked to create their own account, which is deliberate.
• Send a PDF to a specific prospective client for the same purpose.

You may not:

• Publish any of it, post it anywhere public, or upload it to a service that indexes or trains on it.
• Pass it to a competitor of Surge, or use it to compete with us.
• Send it to a general mailing list, or to anybody who is not a genuine prospective client.
• Remove or alter our name or marks from anything.
• Copy the library, scrape it, or use automated tools to collect what is in it.
• Try to reach anything your account has not been given, or work around the controls that decide that.

Everything in the library remains ours. Nothing here transfers ownership of it to you.

Introductions

• When you introduce an opportunity, you confirm that you are entitled to share the contact details you give us and that you have told that person you are passing them on.
• An introduction is not an agreement to pay you. Commission, if any, is governed by the separate written agreement between you and Surge, and nothing on this site changes it or creates an entitlement on its own.
• We decide whether to pursue an introduction, and we may decline without giving a reason.

Suspending and closing accounts

• We can block or close an account at any time, and we will normally tell you why.
• We will act immediately where we believe the material is being redistributed, where an account is shared, or where the security of the site is at risk.
• You can ask us to close your account whenever you like. What happens to your information then is set out in the privacy policy.
• The obligations about confidentiality survive your account being closed.

Availability

We try to keep the site up and we do not promise that it always will be. We may change it, add to it or withdraw parts of it, including a playbook you were relying on, without notice.

Liability

The site and everything in it is provided as it is. To the extent the law allows, we exclude every warranty that is not written down here, and we are not liable for lost profit, lost business, lost opportunity or any indirect loss arising from your use of the site or your reliance on anything in it.

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Changes

We may change these terms. If a change matters we will change the date at the top and tell account holders by email. Continuing to use the site after that means the new version applies. If you do not accept it, close your account.

Governing law

These terms are governed by the laws of Sri Lanka, and the courts of Sri Lanka have exclusive jurisdiction over any dispute arising from them.
